Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Client," "you," or "your") and Respondlytics AI LLC ("Respondlytics AI LLC," "we," "us," or "our") governing your access to and use of our websites, platforms, and services. By engaging our services or using our website, you agree to be bound by these Terms.

Respondlytics AI LLC provides pipeline optimization and growth marketing services tailored to SaaS and product-led growth (PLG) companies, which may include but are not limited to:

• Paid advertising and Meta ad campaign management
• Lead enrichment, intent scoring, and persona-based segmentation
• Trial-to-paid conversion routing and customer journey automation
• CRM setup, automation workflows, and platform integrations
• Reporting, optimization, and ongoing pipeline management

The specific deliverables, timelines, and fees for any engagement will be defined in a separate proposal, statement of work, or service agreement.

You agree to:

• Provide accurate, complete, and timely information needed to deliver services
• Obtain all necessary rights and consents for any content, brand assets, or customer data shared with us
• Comply with applicable laws, regulations, and professional standards relevant to your business
• Maintain the security of any account credentials or access granted to our team

Fees, payment schedules, and accepted payment methods will be specified in your service agreement. Invoices are due upon receipt unless otherwise stated. Late payments may incur interest charges and may result in suspension of services until the account is brought current. All fees are non-refundable except as expressly provided in writing.

Upon full payment, you receive a non-exclusive license to use the deliverables created specifically for your business. Respondlytics AI LLC retains ownership of all underlying methodologies, frameworks, templates, software, and pre-existing intellectual property used to produce the deliverables. You retain ownership of all materials you supply to us.

Both parties agree to keep confidential all non-public business, financial, operational, and product-roadmap information shared in connection with the services. Confidential information may only be used for the purpose of delivering or receiving the services and must be protected with at least the same care used to protect one's own confidential information.

Services are provided on an "as is" and "as available" basis. While we apply our experience and best efforts, Respondlytics AI LLC does not guarantee specific results, conversion volume, revenue outcomes, or return on ad spend, all of which depend on factors outside our control.

To the maximum extent permitted by law, Respondlytics AI LLC's total liability arising out of or related to these Terms shall not exceed the fees paid by you to Respondlytics AI LLC during the three (3) months immediately preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

You agree to indemnify, defend, and hold harmless Respondlytics AI LLC, its officers, employees, and contractors from any third-party claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from (a) content or assets you provide, (b) your use of the services in violation of these Terms or applicable law, or (c) your business's products, services, or professional conduct.

Either party may terminate an engagement in accordance with the notice period defined in the applicable service agreement. We may suspend or terminate services immediately for non-payment, breach of these Terms, or unlawful activity. Upon termination, you remain responsible for any fees earned through the effective termination date.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Respondlytics AI LLC is registered, without regard to its conflict-of-laws principles. Any dispute arising from these Terms shall be resolved in the competent courts of that jurisdiction.

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Continued use of our services or website after changes take effect constitutes acceptance of the revised Terms.
